Terms of Service

Effective Date: 22nd August 2025

1. Scope and Applicability

SellerLegend Limited ("SellerLegend") develops and runs data analysis software ("Software"), for use by Amazon Marketplace sellers. The Software assists the SellerLegend subscribers ("Subscribers") in making sound business decisions based on a proprietary representation of the Subscriber's sales data collected from Amazon.

SellerLegend provides its services exclusively on the basis of these Terms of Service ("TOS") and the individual contracts entered into with the Subscribers by means of the SellerLegend website.

These TOS are subject to the laws of England and Wales.

2. Services Offered

1. The Services entail the downloading of the Subscriber's Amazon SellerCentral data and the presentation of information and statistics about the Subscriber's Amazon orders, products, and customers.
2. SellerLegend provides the Subscriber access to a transactional web-based software to manage your Amazon business.
3. Details on the prices, the term of the agreement and the scope of the access to the Application granted to the Subscriber are agreed in the individual contract concluded between the parties.
4. Access to the Application and the Software is provided in the form of "Software As A Service" over the Internet.
5. SellerLegend retains the right to enhance, change, adapt and otherwise modify the Application in whichever way it chooses.
6. Many Software features are dependent on data provided by Amazon through their public SP-API interfaces. As SellerLegend does not control the data provided by Amazon, SellerLegend does not guarantee that the Software will consistently provide correct results.

3. Subscriber Obligations

1. The Subscriber warrants that the information provided during the creation of the account is accurate and complete.
2. The Subscriber shall be solely responsible for maintaining the confidentiality of login credentials and account activity.
3. The Subscriber shall refrain from taking any measures that could impair or endanger the stability and safety of the Application.
4. The Subscriber must at all times comply with the Amazon Terms and Code of Conduct for selling on the Amazon Marketplace.

The Subscriber must not do or attempt to do anything unlawful, prohibited by these TOS, including but not limited to:

• Uploading private information without consent.
• Defaming, harassing, threatening, or offending others.
• Transmitting malware, viruses, or other harmful code.
• Sending unsolicited email (spam).
• Violating copyright or intellectual property rights.
• Reverse engineering, tampering with, or impersonating SellerLegend.
• Creating a Denial of Service (DoS) attack.

4. Data Access, Portability and Retention

1. Retrieval of Subscriber's Amazon data will be achieved by linking the Amazon Account to the Customer Account.
2. The Subscriber must ensure SellerLegend is granted all access rights required.
3. Upon termination, Subscriber data will remain available for 30 days for export, after which it will be permanently deleted.

5. Availability

1. SellerLegend warrants 99% annual average availability, excluding downtime caused by force majeure, Amazon outages, or external factors.
2. Planned maintenance will be announced at least one week in advance via the SellerLegend website.

6. Term and Termination of Services

1. The initial term usually starts with a free trial period.
2. Non-payment after four consecutive attempts will be grounds for termination.
3. SellerLegend reserves the right to cease offering the Service entirely with 30 days' advance notice.

7. Payment Terms

1. The use of SellerLegend services is subject to continuous charges as agreed.
2. All prices are net of VAT and applicable taxes.
3. Subscription fees are non-refundable except in cases of verified billing error or service discontinuation.

8. Copyright and License

1. SellerLegend owns all intellectual property rights in the Application.
2. Subscribers are granted a limited, revocable, non-exclusive, non-transferable license to use the Application.
3. Reverse engineering, copying, or creating derivative works is strictly prohibited.

9. Disclaimer of Warranty and Limitation of Liability

1. The Service is provided "as is" and without warranties.
2. SellerLegend's total liability shall not exceed the total subscription fees paid in the preceding 6 months.
3. SellerLegend shall not be liable for indirect, incidental, or consequential damages.

10. Indemnification

The Subscriber agrees to indemnify and hold harmless SellerLegend against all claims arising from breach of these Terms, non-compliance with Amazon's policies, or misuse of the Application.

11. Force Majeure

SellerLegend shall not be responsible for any delay or failure due to causes beyond its reasonable control, including Amazon API outages, internet failures, strikes, government restrictions, or natural disasters.

12. Beta Features

Beta features are provided on an "as is" basis, may contain bugs, and may be withdrawn without notice.

13. Jurisdiction

These Terms shall be governed by the laws of England and Wales. The Subscriber agrees to submit to the exclusive jurisdiction of the courts in Warwickshire, UK.

14. AI and Machine Learning Features

1. SellerLegend may provide features powered by artificial intelligence or machine learning ("AI Features").
2. AI Features are provided on an "as is" basis without warranties about accuracy or reliability.
3. The Subscriber remains solely responsible for validating any outputs from AI Features.
4. SellerLegend reserves the right to modify, suspend, or withdraw any AI Features at its sole discretion.
